Cancellation Policy

1. Minimum engagement term

All DealerFlow engagements operate under a minimum 90-day Initial Term as set out in the signed Performance Agreement. This term is required to allow sufficient time for campaign setup, lead pipeline development, and appointment delivery to reach the guaranteed target. Early cancellation outside of the conditions below is not permitted.

2. Cancellation by mutual consent

Either party may propose cancellation of the agreement by mutual written consent. If both parties agree in writing to end the engagement early, the following applies:

A pro-rata refund will be calculated based on the number of Qualified Appointments delivered versus the guaranteed target at the date of cancellation
Refund is calculated as: (Undelivered Appointments ÷ Total Guaranteed Appointments) × Total Service Fee Paid
Both parties must sign a written cancellation confirmation before any refund is processed
All client data will be exported and delivered within 7 business days

 

3. Cancellation by the client (for provider failure)

A client may cancel the agreement before the end of the Initial Term only if AutoScale A.N.T has materially failed to perform the agreed Scope of Work and has failed to remedy the failure within 7 business days of receiving written notice from the client.

In this event, the client is entitled to a pro-rata refund calculated on appointments delivered versus the guaranteed target, as outlined in the Refund Policy.

For a cancellation under this clause to be valid, the client must:

Submit written notice via WhatsApp or email clearly describing the failure
Allow AutoScale A.N.T a 7 business day remedy period
Have complied with all client obligations up to the date of notice

 

4. Cancellation by AutoScale A.N.T (for client breach)

AutoScale A.N.T reserves the right to cancel the agreement immediately or with notice in any of the following circumstances:

  • The client fails to maintain the minimum advertising budget of R5,000 per month — this constitutes an automatic material breach and AutoScale A.N.T may terminate with no refund obligation

  • The client fails to meet any payment obligation within 3 business days of the invoice due date

  • The client materially breaches any other obligation in the Performance Agreement and fails to remedy the breach within 7 business days of written notice

  • The client provides false, misleading, or fraudulent information at any point during the engagement

In all cases of client-side breach, no refund will be issued for fees already paid.

 

5. Effect of cancellation on systems and data

Upon cancellation or termination of the agreement for any reason:

  • All client access to AutoScale A.N.T's platforms, funnels, automations, and systems will be revoked within 48 hours

  • All intellectual property developed by AutoScale A.N.T — including funnels, workflows, automations, templates, and systems — remains the exclusive property of AutoScale A.N.T and will not be transferred to the client

  • Client contact records and lead history logged in the DealerFlow CRM will be exported and delivered to the client within 7 business days in a standard format (CSV or equivalent)

  • Confidentiality obligations survive termination and remain in effect for 24 months from the date of cancellation


6. Continuation after the Initial Term

AutoScale A.N.T does not automatically renew any engagement at the end of the 90-day Initial Term. Continuation of services requires a new Performance Agreement, signed by both parties, with agreed pricing, scope, and duration. No charges will be applied to a client after the Initial Term without a new signed agreement in place.

 

7. How to initiate cancellation

All cancellation requests must be submitted in writing — via WhatsApp or email — to AutoScale A.N.T's primary contact. Verbal cancellations are not valid. A cancellation is only effective from the date it is acknowledged in writing by AutoScale A.N.T.
